PREMIUM BEAT LICENSE AGREEMENT

Non-Exclusive License (Premium Package Tier)

This License Agreement ("Agreement") is entered into by and between:

Producer: The composer/producer of the beat purchased from Legacy Mobile Studio ("Producer")
Purchaser: The individual or entity purchasing the beat ("Artist")

Effective as of the date of purchase

1. GRANT OF LICENSE

Upon full payment, Producer grants Artist a non-exclusive, non-transferable license to use the purchased instrumental ("Beat") for the creation of one (1) new song. This is a lease license. Ownership of the Beat remains with the Producer.

2. LICENSE TYPE

This Premium Package is a Non-Exclusive License, meaning:

• Producer retains full ownership and copyright of the Beat
• Producer may license the Beat to other artists
• Artist does not receive exclusive rights

3. PERMITTED USES

Under the Premium Lease Tier ($74.99), Artist is permitted:

• Up to 500,000 total audio streams
• Up to 25,000 digital downloads or physical sales
• Unlimited music videos (non-commercial broadcast)
• Distribution on all streaming platforms (Spotify, Apple Music, YouTube, etc.)
• Free promotional use and social media posting
• Live performances (non-televised)
• Moderate broadcast rights for radio and streaming services

4. RESTRICTIONS

Artist may NOT:

• Resell, sublicense, lease, or transfer the Beat
• Use the Beat for commercial advertisements, film, or TV sync placements
• Claim ownership of the Beat
• Register the Beat's instrumental composition as their own
• Use the Beat beyond the usage limits stated above

If usage exceeds limits, Artist must upgrade their license tier.

5. CREDIT REQUIREMENT

Artist must credit the Producer in all releases as:

"Prod. by [Producer Name]" (as displayed on Legacy Mobile Studio)

Credit must appear in:

• Streaming metadata
• YouTube descriptions
• Album credits where applicable
• Social media posts (where space permits)

6. COPYRIGHT & OWNERSHIP

Producer retains:

• 100% ownership of the instrumental composition
• 100% publishing rights to the Beat

Artist retains:

• Ownership of their recorded vocals (master recording only)
• Rights to their own vocal performance and lyrics

This agreement does not transfer copyright ownership. Artist may not claim authorship of the instrumental.

7. ROYALTIES & PUBLISHING

Producer is entitled to:

• 50% of publishing royalties from the composition
• Proper songwriter credit where applicable
• Mechanical royalties as per standard publishing laws
• Performance royalties from streaming and broadcast

Artist is responsible for registering the composition with their PRO (ASCAP, BMI, SESAC, etc.) and ensuring proper splits are registered.

8. FILE FORMATS & DELIVERABLES

Under the Premium Lease Tier, Artist receives:

• High-quality WAV format (24-bit, 48kHz)
• MP3 format (320kbps)
• Ready for immediate use on all platforms

9. TERM

This license is effective indefinitely as long as Artist complies with the terms and usage limitations. If usage limits are exceeded and no upgrade is purchased, Producer may request cessation of distribution or terminate this license.

10. PAYMENT & REFUNDS

All payments are final. Due to the digital nature of this product, no refunds will be issued after download and access has been granted.

11. BREACH OF AGREEMENT

Failure to comply with this Agreement may result in:

• Immediate termination of license
• Request for removal of content from streaming platforms
• Legal action to recover damages if necessary
• Claims for breach of contract

12. ACCEPTANCE

By purchasing and downloading the Beat, Artist acknowledges and agrees to all terms outlined in this Agreement. This constitutes a binding legal contract between Producer and Artist.
