This License Agreement ("Agreement") is entered into by and between:
Producer: The composer/producer of the beat purchased from Legacy Mobile Studio ("Producer") Purchaser: The individual or entity purchasing the beat ("Artist")
Effective as of the date of purchase
1. GRANT OF LICENSE
Upon full payment, Producer grants Artist a non-exclusive, non-transferable license to use the purchased instrumental ("Beat") for the creation of one (1) new song with unlimited usage rights. This is a lease license with no expiration. Ownership of the Beat remains with the Producer.
2. LICENSE TYPE
This Unlimited Package is a Non-Exclusive License, meaning:
Producer retains full ownership and copyright of the Beat
Producer may license the Beat to other artists
Artist does not receive exclusive rights
License is permanent with no renewal or expiration required
Unlimited Lease Tier: $149.99
3. PERMITTED USES
Under the Unlimited Lease Tier ($149.99), Artist is permitted unlimited usage including:
Unlimited audio streams across all platforms
Unlimited digital downloads or physical sales
Unlimited music videos (commercial and non-commercial)
Unlimited monetization on all platforms (Spotify, YouTube, Apple Music, etc.)
Full commercial rights for advertisements, sync placements, film, and TV
Live performances (televised and non-televised)
Unlimited broadcast rights for radio and streaming services
Use in podcasts, documentaries, and streaming content
Remixes and derivative works based on the beat
Distribution across all media channels worldwide
4. RESTRICTIONS
Artist may NOT:
Resell, sublicense, lease, or transfer the Beat to a third party
Claim ownership of the Beat or the instrumental composition
Register the Beat's instrumental composition as their own
Use the Beat for purposes beyond permitted uses listed above
Share the beat files with others who have not purchased a license
5. CREDIT REQUIREMENT
Artist must credit the Producer in all releases as:
"Prod. by [Producer Name]" (as displayed on Legacy Mobile Studio)
Credit must appear in:
Streaming metadata (Spotify, Apple Music, etc.)
YouTube descriptions and video credits
Album liner notes and credits where applicable
Social media posts (where space permits)
6. COPYRIGHT & OWNERSHIP
Producer retains:
100% ownership of the instrumental composition
100% publishing rights to the Beat
All copyright interests in the instrumental recording
Artist retains:
Ownership of their recorded vocals (master recording only)
Rights to their own vocal performance and lyrics
Ownership of any derivative works based on their vocal performance
This agreement does not transfer copyright ownership. Artist may not claim authorship of the instrumental.
7. ROYALTIES & PUBLISHING
Producer is entitled to:
50% of publishing royalties from the composition
Proper songwriter and producer credit where applicable
Mechanical royalties as per standard publishing laws
Performance royalties from streaming, broadcast, and live performance
All royalties collected through PROs (ASCAP, BMI, SESAC, etc.)
Artist is responsible for registering the composition with their PRO (ASCAP, BMI, SESAC, etc.) and ensuring proper splits are registered with the beat producer.
8. FILE FORMATS & DELIVERABLES
Under the Unlimited Lease Tier, Artist receives:
High-quality WAV format (24-bit, 48kHz)
MP3 format (320kbps)
Full Stems/Trackouts (individual instrumental elements for mixing)
Ready for immediate use on all platforms and in professional settings
9. TERM
This license is effective indefinitely with no expiration date. Artist may use the beat in perpetuity as long as they comply with the terms and conditions of this Agreement. The license cannot be revoked provided Artist maintains compliance with all restrictions and payment obligations.
10. PAYMENT & REFUNDS
All payments are final. Due to the digital nature of this product and the unlimited rights granted, no refunds will be issued after download and access have been granted. All purchases are non-refundable.
11. BREACH OF AGREEMENT
Failure to comply with this Agreement may result in:
Immediate termination of license
Request for removal of content from all streaming platforms
Legal action to recover damages if necessary
Claims for breach of contract and copyright infringement
12. ACCEPTANCE
By purchasing and downloading the Beat, Artist acknowledges and agrees to all terms outlined in this Agreement. This constitutes a binding legal contract between Producer and Artist.
